These Terms of Sale apply to reservations, pre-orders, purchases, invoices, and related transactions for Vault Alpha Cube products and related services offered by Vault AI Systems (“Vault,” “we,” “us,” or “our”).

These terms are an interim launch draft and may be updated before final checkout launch.

01Products covered

Models presented at launch

Vault currently presents the following products:

  • Alpha CubeListed hardware price: $42,950
  • Alpha Cube ProListed hardware price: $56,950

Each product is a local AI appliance designed to run supported models inside the customer’s network. Product specifications, supported models, component selections, services, and availability may change before shipment. Final configuration is confirmed with the customer before final invoicing or shipment.

02Reservation and pre-order model

How a reservation works

Vault’s checkout flow is a reservation or pre-order deposit, not a full hardware purchase at checkout. A reservation holds the customer’s selected model mix and place in the production queue, subject to acceptance by Vault.

The reservation deposit is $5,000 per physical unit for both Alpha Cube and Alpha Cube Pro. The deposit is applied toward the final hardware purchase price.

The remaining hardware balance is the applicable hardware price minus deposits already paid, plus any applicable taxes, shipping charges, duties, fees, service charges, or other approved charges. Vault invoices the remaining balance before shipment.

03Order acceptance

When Vault accepts a reservation

Submitting a reservation or completing Stripe Checkout does not require Vault to accept an order if the transaction is incomplete, unauthorized, suspicious, outside the supported launch geography, inconsistent with quantity limits, technically invalid, or otherwise not acceptable to Vault.

Vault may accept or reject a reservation after review. If Vault rejects a reservation after payment, Vault will handle any required refund according to applicable law and Vault’s final written refund policy.

04Payment processing

How Stripe handles your deposit

Vault uses Stripe Checkout for deposit payments. Stripe may collect and process payment card details, billing details, email address, payment status, transaction identifiers, and related payment data under Stripe’s own terms and privacy policy.

Note

Vault does not receive full payment card numbers from Stripe. Vault may receive transaction records such as Checkout Session ID, Payment Intent ID, Stripe Customer ID, customer email, company or organization, line items, amount paid, and payment status.

05Pricing and taxes

Currency, deposit, and tax handling

Prices shown on the site are in U.S. dollars unless stated otherwise. The current reservation deposit is $5,000 per unit.

Tax is not calculated at deposit checkout. Any applicable sales tax, use tax, VAT, customs duty, or similar charge is calculated at invoice or otherwise handled before shipment.

06Quantity limits and availability

Quantity range and production capacity

The product page currently supports reservation quantities from 0 to 5 per model. Customers needing more than 5 of either model or a cluster deployment should contact Vault for production allocation.

Reservations are subject to availability, production capacity, component availability, export controls, and Vault’s acceptance. Reservations are expected to be filled in the order received, subject to production and allocation constraints.

07Cancellation and refunds

What the deposit covers

Pre-order deposits are non-refundable except where a refund is required by applicable law or expressly approved by Vault in writing. The deposit reserves production capacity and long-lead component planning for the customer’s unit.

If Vault cannot accept or fulfill a reservation, Vault will contact the customer about available options.

08Final invoice and remaining balance

From reservation to invoice

After a reservation, Vault follows up to confirm configuration, production allocation, destination, and shipment planning. Vault then invoices the remaining balance before shipment.

Vault is not required to ship a unit until the final invoice is paid in full and all required customer information has been provided, unless Vault approves alternate payment terms in writing.

09Delivery and shipping

Delivery windows and shipping costs

Delivery dates are estimates, not guarantees, unless separately agreed in writing. Vault will provide updated timing when the unit enters assembly and before shipment.

Current product copy describes free shipping in North America. Taxes, duties, import fees, special handling charges, and other non-standard shipping costs may still apply depending on destination and final invoice terms.

10Customer responsibilities

What customers agree to

Customers are responsible for:

  1. Providing accurate company, contact, billing, tax, deployment, and shipping information.
  2. Confirming final configuration and deployment requirements.
  3. Ensuring their network, facility, power, cooling, security, and operational environment can support the product.
  4. Using the product only for lawful purposes.
  5. Obtaining any internal approvals needed for reservation, final invoice, and deployment.
  6. Complying with laws that apply to their data, AI workloads, models, and use cases.

Customers may not use Vault products or services to violate law, infringe rights, bypass safety controls, attack systems, develop or deploy unlawful malware, or handle regulated data in a way that violates their own legal obligations.

11Warranty and support

Confirmed in writing before payment

Warranty, service, support, replacement part, repair, and excluded-condition terms will be confirmed in writing before final payment or shipment. Any warranty applies only as expressly stated in Vault’s final written warranty or support terms.

12Disclaimers

As is, to the extent permitted by law

Except for any express warranty approved by Vault in writing, the products, services, site, checkout flow, and related materials are provided “as is” and “as available” to the maximum extent permitted by law.

Vault does not guarantee that any product will meet every customer requirement, run every AI model, achieve a specific return on investment, prevent every security incident, or eliminate every compliance risk. Customer outcomes depend on configuration, environment, data, models, usage, maintenance, and operational controls.

13Limitation of liability

The cap on Vault’s liability

To the maximum extent permitted by law, Vault will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, procurement delays, or substitute products.

To the maximum extent permitted by law, Vault’s total liability for a transaction will not exceed the amounts paid by the customer to Vault for the specific reservation or product giving rise to the claim.

14Changes to products and terms

Updates before final invoice

Vault may update product specifications, component selections, checkout behavior, prices, timelines, and these Terms before accepting a final order or issuing the final invoice. Material changes will be communicated to affected reservation holders when required by law or when Vault determines notice is appropriate.
